The Terms & Conditions outline the business terms between you or the business you represent and YS Consultants, a sister concern of YI Solutions.
As used in this document, “we,” “us,”, “our” and “YS Consultants” means Digital Mall and any of its applicable Affiliates, and “you” means the applicant (if registering for or using our service as an individual), or the business employing the applicant (if registering for or using our service as a business).
(Altogether referred to as “Parties”).
Acceptance; If you are accepting on behalf of a company, you represent and warrant to digitalmall.pk that you have full authority to bind such company.
digitalmall.pk service is focused towards businesses and companies. We have a very strict spam protection policy. We are unable to host web sites containing:
1) Adult content.
2) Web sites spreading or containing hate material
3) Web site of Jihad Organizations or containing any material related to it.
4) Gambling and betting
5) Selling or offering to download software or tools without permission or authorization from owners.
6) Any material or activity considered to be unlawful by Government of Pakistan or USA.
7) Websites containing malware, trojans and viruses.
The decision to consider a website within the brackets of above definition is at discretion of digitalmall.pk and may result in immediate cancellation of your account without any refund.
Please read the following terms and conditions and acceptable user policy of digitalmall.pk service carefully.
By subscribing to any of our Services or packages you agree to be bound by these terms and conditions.
Services Provided:
- Digital Mall shall create and provide access to and use of its Order Management or Service Management website to Customer on rental bases, which includes platform creation along with domain, hosting, platform management, Tailor-made IT Tech Tools, customized marketing solutions and related technical support.
- The Platform includes all the features as per your chosen plan.
- Products or Services addition and management will be Digital Mall responsibility, along with the Domain of Client’s Choice to represent its business and services.
- The service is limited to the Client’s digital presence on the above selected platforms and shall not be misunderstood as providing guaranteed lead/sales generation or conversions.
Subscription Fee and Payment:
- The Client agrees to pay the Service Provider an agreed service fees of as per your chosen plan, excluding applicable taxes, in relation to the order or services management solution according to the Agreement.
- Domain charges shall be applied to the Client. Domain will be transfer to client in case of service termination.
- Subscription Fee are payable [monthly] in advance and are non-refundable. Payment is due within 5 days from the date of the invoice.
Modification/Additions
- Any additions, modifications or amendments to this Agreement must be in writing and signed by both Parties.
- Any addition in service shall be commenced in 2-3 business days.
Client Responsibilities
- The Client agrees to provide the Service Provider with all necessary information, images, and data required for the Service provider to perform the services under this Agreement.
- The Client shall ensure that all information provided is accurate and up-to-date.
Term and Termination:
- This Agreement shall commence on the Effective Date and shall continue, unless terminated earlier in accordance with this Agreement.
- Either party may terminate this Agreement upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within 30 days of receiving written notice of the breach.
Confidentiality:
- Each party agrees to keep confidential any proprietary or confidential information disclosed by the other party during the term of this Agreement.
Governing Law and Dispute Resolution:
- This Agreement shall be governed by and construed in accordance with the laws of [jurisdiction].
- Any dispute arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of [arbitration body].
Cancellation
You may cancel your service at any time by contacting us using the contact form on our web site. There are no additional fees for canceling your service.
Renewal or Expiry
digitalmall.pk will call or send automated email 5 days before your account expires. digitalmall.pk service shall not be responsible for failing to reach you through phone or email due to any reason. Failing to renew your website within 6 days of expiry shall result in cancellation of service and will give full rights and permission to seize your domain, which will become ownership of digitalmall.pk and can be later sold to any third party.
Support Guarantee
digitalmall.pk service support will always try to solve any problem related to website within 12 hrs. However depending on nature of problem this can get more time.
Content Policy
digitalmall.pk is under no obligation to edit, review or modify the contents of your website. However, digitalmall.pk reserves the right to remove any content without notice.
MISCELLANEOUS
These Terms and any policies or operating rules posted by us on the Service or in respect to the Service constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. These Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms or use of the Service. You agree that these Terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Terms and the lack of signing by the parties hereto to execute these Terms.
Backups
digitalmall.pk will use reasonable efforts to protect and backup data for our clients on a regular basis, however, digitalmall.pk does not guarantee the accuracy or regularity of backup services. You are solely responsible for making back-up files in connection with your use of the services.
